AAR to Acquire Majority Stake in MRO Holdings for $1.8 Billion

AAR has agreed to acquire a majority stake in MRO Holdings, a maintenance provider backed by Bain Capital. The deal values the transaction at $1.8 billion.

MRO Holdings specializes in aircraft maintenance, repair, and overhaul services. The company operates across multiple locations in the Americas.

AAR supplies aviation services including parts distribution and fleet management. The acquisition expands its reach in the commercial aviation maintenance sector.

Bain Capital has held its investment in MRO Holdings since 2018. The private equity firm will retain a minority position after the deal closes.

The transaction requires regulatory approvals and is expected to complete later this year. Both companies have approved the terms.
