Marvell-Lumentum all-stock merger faces investor backlash as shareholders from both sides slam ‘trash offer’ and shares slide

Shareholders of Marvell Technology and Lumentum Holdings pushed back against the companies’ proposed all-stock merger on Monday. Investors from both sides criticized the deal, with some calling it a poor offer. The negative reaction sent shares of both companies lower during the trading session.

Marvell announced an agreement to acquire Lumentum in an all-stock transaction. The deal would combine the two semiconductor and optical component makers under one roof. Specific financial terms were not detailed in the initial announcement.

The all-stock structure means Lumentum investors would receive Marvell shares rather than cash. That approach ties the deal’s value directly to Marvell’s stock price. Shareholders on both sides questioned whether the exchange ratio reflects fair value.

Marvell shareholders voiced concern about dilution and the strategic fit of the acquisition. Lumentum investors argued the offer undervalues their company’s optical technology assets. The combined criticism signals broad dissatisfaction with the proposed terms.

Monday’s stock declines reflect that skepticism. Falling share prices reduce the effective value of an all-stock deal. Both companies now face pressure to justify the merger or revise its structure.

The transaction still requires approval from regulators and shareholders of both firms. Opposition from either investor base could complicate that path. Management teams have not yet responded publicly to the shareholder criticism.

The episode highlights growing investor scrutiny of large tech mergers. All-stock deals are particularly sensitive to market reactions because their value shifts daily. Both boards will need to make a persuasive case in the coming weeks.
